The Buyer agrees to buy and the Seller agrees to sell and the following Terms and Conditions are agreed:
Article 1: Equipment
Article 2: Contract Prices
Total Contract Prices is EURO Forty Six Thousands and Three Hundreds Only (EURO 46,300), CIF Hai Phong Port, Vietnam, according to INCOTERMSđ2010.
Article 3: Delivery Terms
3.1. Shipment Date: Within 4 months from date of down payment made
3.2. Port of shipment: Any European Port
3.3. Port of discharge: Hai Phong Seaport, Vietnam
3.4. Transhipment allowed, Partial shipment allowed
Article 4: Payment Terms 4.1.
20% of the total contract value (equivalent to EUR 9,260) down payment on order, by TTR upon receipt of the Invoice.
4.2. 80% of the total contract value (equivalent to EUR 37,040) will be paid by an Irrevocable Letter of Credit at sight in the favour of the Seller's account maintained with:

The LC will be opened within 30 days before date of delivery (Ex-work) and valid for 45 days from date of shipment.
Article 5: Documents
5.1. Required shipping documents
- Full set of 3/3 original of B/L, marked "freight prepaid".
- Three (03) original signed Commercial Invoice.
- Three (03) original detailed Packing List.
- One (01) original Insurance Certificate of 110% of invoice value, covering "all risks''.
- One (01) original Certificate of Origin issued by the Chamber Of Commerce of European countries & two copies.
- Third party shipping documents acceptable.
5.2. The Shipping documents shall be submitted to LC Issuing bank within 21 days from B/L date.
5.3. The Seller shall promptly send to Buyer by fax one copy of shipping documents to facilitate the Buyer to prepare necessary procedures to receive the goods at port of discharge.
Article 6: Packing
The Seller shall suitably packed the EQUIPMENT in wooden case(s), according to international packing standards for export goods, suitable for sea transportation and transhipments, ensure safe, avoid losses or damages of equipment during transportations.

Article 8: Warranty
8.1. The Seller shall guarantee the quality and performance of the equipment against manufacturing defects for a period of 12 months from the date of the equipment has been commissioned or 18 months after the delivery, whichever comes first
8.2. Seller shall free of charge to the Buyer, repair or replace any item of the Equipment found to be defective during the warranty period, as a result of defective design, materials and/or inadequate workmanship. Buyer must notify Seller in writing of the claimed detect promptly after appearance thereof and in no event later than thirty (30) days after expiry of the warranty period.
8.3. Seller shall have no responsibility for damage caused the equipment by: Unintended use, misuse, abuse, or improper storage, installation maintenance operation or repair by persons not under Seller's supervision.
8.4. This warranty does not cover normal wear and tear.
8.5. Seller makes no other warranties differing from those contained herein or any implied warranties.
Article 9: Technical assistance
The Seller will supply 02 days free of charge services for commissioning and training for the operators.
Article 10: Exclusions
- Installation of the components on board
- All interconnecting piping, normal valves and fittings, electrical cables
- Any item not specifically mentioned in the scope of supply
Article 11: Documentation
One (01) sets of Instruction Manuals in English and dimension drawings for all components shall be provided by the Seller.
Article 12: Arbitration
Any dispute/disagreement that may arise during implementation of this order shall be first discussed, negotiated and settled in an amicable and constructive manner. If failed, the dispute/disagreement shall be finally settled by the Internal Arbitration Centre in Hanoi, Vietnam.
The proceedings shall refer to the laws of Singapore.
INCOTERMSđ2010 shall be applied.
Their verdict on such dispute/disagreement shall be final and binding upon the two parties.
The parties whose lose the case shall bear all the cost relevant to the proceeding.
Article 13: Validity
- This contract will be effective after signing by parties involved.
- This contract is made out in quadruplicate in English, which has equal validity, two copies for each party. It consists of 05 pages of equal validity. All the pages of the contract have abbreviated signatures of both parties.
