Both parties agree to enter into a contract with the details as follows:
Article 1: Transaction content
1.1 Party B designs and manufactures sample products for Party A. The functional structure is specified in the Design Draft and Annex of this Contract.
1.2 The following documents are an integral part of the Contract:
– Annex to the Contract.
– Quotation dated // 201X.
1.3 Other adjustments as required during the design process.
Article 2: Rights and obligations of Party A
2.1 Party A must advance Party B 50% of the contract value at the time of signing. The remaining 50% will be paid immediately after the liquidation of the contract.
2.2 Party A must inform Party B about any problems encountered during operation.
2.3 If any new functions are not included in the original agreement, then Party A is responsible for writing the request and sending it via email to Party B for further upgrades (with additional fees).
2.4 The two parties shall work together to quickly and efficiently solve the issues.
Article 3: Rights and obligations of Party B
3.1. Party B must meet the requirements of Party A
3.2. After liquidation, Party B is responsible for checking and handing over samples.
3.3. Party B must quickly correct errors or problems as required by Party A
3.4. Party B shall receive new content upgrade functions sent by Party A and give reasonable price and completion time.
3.5. The two parties shall work together to quickly and efficiently solve the issues.
3.6. Party B must keep confidentiality of product information.
Article 5: Value of contract
Total contract value is $ 4,035

Article 6: Payment
6.1 The value of this contract is paid by Party B in 02 specific installments:
– Payment of 50% of the contract value immediately after the two parties sign this contract.
– Payment of the remaining 50% after the signing of the minutes of acceptance and liquidation of the contract.
6.2 Form of payment: Transfer
Article 7: Implementation schedule:
Total time to complete is 15 days. After 15 days, Party B will send the minutes of handing over and acceptance of the contract after checking and completing the product at the request of Party A.
Article 8: Validity of the contract:
8.1 The contract takes effect from the date of signing. All amendments to this contract will be valid only after the representatives of the two parties sign the amendments forming the integral part of the contract.
8.2 The contract consists of 3 pages and an one-page annex. This contract is made into 4 originals of equal validity. Each party keeps 02 originals.
